Roundtable affiliates invest $5 million in Roundtable at $11.13 per share, as the company says its long-awaited strategic commercial transaction has entered "final diligence."

Roundtable (Nasdaq: RTB), the full-stack AI/DeFi enterprise media platform, today announced “insider affiliates” invested over $5 million at $11.13/share, in conjunction with the announced “imminent” Strategic Commercial transaction. The partnership, according to the company, is in it "final diligence” after six months of confidential negotiations.

On March 6, 2026, the Company announced a $10 Million deposit toward what the company describes as a transformative commercial partnership - and today, Roundtable CEO James Heckman updated shareholders with “final diligence” status, to answer uncertainty in the market, providing early guidance to allay concern from investors about consummation.

“This financing, led by trusted investors who understand our platform, mission, and future trajectory - highlights our focus on partnering with long-term believers, as demonstrated recently, with 85% of outstanding shares locked up for a year and beyond.

The shares were sold pursuant to Rule 506(b) of Regulation D, and are being issued as restricted stock, coupled with a registration “piggyback” rights agreement, exercisable 180 days after issuance of the shares.

The Company also confirmed it is progressing toward finalizing the strategic partnership agreement first disclosed in its Current Report on Form 8-K filed on March 25, 2026, pending completion of final diligence. The anticipated transaction will apply the previously disclosed $10 million deposit toward the transaction consideration.
